Received in connection with the agreement and plan of merger, dated as of April 14, 2021, by and among Reservoir Media, Inc. (formerly known as Roth CH Acquisition II Co. ("RMI")), Roth CH II Merger Sub Corp. ("Merger Sub") and Reservoir Holdings, Inc. ("Reservoir"), pursuant to which Merger Sub merged with and into Reservoir, with Reservoir surviving the merger as a wholly-owned subsidiary of RMI (the "Business Combination"). The Reporting Person received the shares of common stock, $0.0001 par value per share, of RMI as consideration for the Business Combination.
