On July 27, 2011, Renaissance Learning, Inc., a Wisconsin corporation (the “Company”), issued a press release (the “Press Release”) announcing the Company’s declaration of a quarterly cash dividend of $.08 per share of Company common stock to be paid September 1, 2011, to the Company’s shareholders of record as of August 12, 2011.  A copy of the Press Release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
