EXPLANATORY NOTE: DEREGISTRATION OF SECURITIES

 

This Post-Effective Amendment No. 1 (this “ Post-Effective Amendment ”) is filed by Prospect Medical Holdings, Inc. (the “ Company ”) and amends the registration statement (Reg. No. 333-162241) (the “ Registration Statement ”) filed with the Securities and Exchange Commission on September 30, 2009, as amended on October 14, 2009, registering the offer and sale of the 12 3/4% Senior Secured Notes, Series B, due 2014, of the Company.

 

The Company has terminated the offering of the notes pursuant to the Registration Statement.  Accordingly, pursuant to the undertaking contained in the Registration Statement to remove from registration by means of a post-effective amendment any of the notes being registered which remain unsold, the Company hereby removes from registration the notes covered by the Registration Statement which remain unsold.
