(b) On November 6, 2008, Gerald A. Fallon resigned as a director of PVF Capital Corp. (the "Company") and its wholly owned subsidiary, Park View Federal Savings Bank (the "Bank")

(d) On November 6, 2008, Umberto P. Fedeli was appointed as a director of the Company and the Bank to fill the vacancy created upon the resignation of Mr. Fallon. For more information, reference is made to the Company's press release dated November 12, 2008, which is attached to this Report as Exhibit 99.1 and is incorporated herein by reference.
