Item 8.01                      Other Events

On December 30, 2014, Putman Bank, the wholly owned subsidiary of PSB Holdings, Inc., completed its conversion from a federally-chartered savings bank to a Connecticut-chartered bank that is a member of the Federal Reserve System.
