(1)	Options to purchase shares of common stock vest as follows: options to purchase 10,000 shares of common stock vested on January 17, 2017; options to purchase 416 shares of common stock vest monthly in each of the 23 months after the date of grant and options to purchase 432 shares of common stock will vest on the 24th month anniversary of the date of grant.

Remarks: The reporting person resigned as a member of the Board of Directors of Dipexium Pharmaceuticals, Inc. effective April 19, 2017. As a result, the reporting person is no longer subject to Section 16 in connection with his transactions in the equity securities of Dipexium Pharmaceuticals, Inc. and therefore will no longer report any such transactions on Form 4 or Form 5.
