PETCO Animal Supplies, Inc. Announces Pricing of Secondary Public
Offering of 5,000,000 Shares of Common Stock 


PETCO Animal Supplies, Inc. (NASDAQ:PETC) today announced that affiliates of
Leonard Green & Co. and Texas Pacific Group have agreed to sell an aggregate of
5,000,000 shares of the company's common stock with an expected price to the
public of $32.10 per share.  This sale is being made pursuant to the company's
registration statement previously filed with the Securities and Exchange
Commission. Morgan Stanley & Co. Incorporated is the underwriter of the
offering.  PETCO will not receive any of the proceeds from the offering.
