(2)	Pursuant to the terms of the Agreement and Plan of Merger, dated as of November 3, 2019, among the Issuer, Pacific US Inc. and Pacific BidCo US Inc., each outstanding share of Class A common stock of the Issuer and each outstanding RSU was converted automatically into the right to receive cash consideration of $26.75 per share or RSU, as applicable.
