( 1)	The transaction was part of a block sale made in connection with the liquidation of Special Value Bond Fund II, LLC, the record holder of the shares sold.
( 2)	Special Value Bond Fund, LLC ("SVBF") is the holder of 456,809 shares of Common Stock. Special Value Continuation Partners, LP is the holder of 164,636 shares of Common Stock. By reason of the position of Tennenbaum Capital Partners, LLC ("TCP") as the investment advisor to SVBF and SVCP, TCP has the powers of voting and disposition of the Common Stock held by SVBF and SVCP.
