Proficient Alpha Acquisition Corp. Announces Pricing of $100 Million Initial Public Offering

Proficient Alpha Acquisition Corp. (NASDAQ: PAACU, the “Company” or “Proficient”) announced today that it priced its initial public offering of 10,000,000 units at $10.00 per unit. The units are expected to be listed on The NASDAQ Capital Market (“NASDAQ”) and trade under the ticker symbol “PAACU” beginning May 30, 2019. Each unit consists of one share of common stock, one warrant to purchase one share of common stock at a price of $11.50 per share and one right to receive one-tenth of one share upon the consummation of the Company’s initial business combination. Once the securities comprising the units begin separate trading, the common stock, warrants and rights are expected to be listed on NASDAQ under the symbols “PAAC,” “PAACW” and “PAACR,” respectively.

The underwriters have been granted a 45-day option to purchase up to an additional 1,500,000 units offered by the Company to cover over-allotments, if any.

The offering is expected to close on June 3, 2019, subject to customary closing conditions.

I-Bankers Securities, Inc. acted as sole book-running manager of the offering. EarlyBirdCapital, Inc. acted as the co-manager of the offering.
