Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 2, 2015, Peter Osvaldik resigned from his position as Chief Accounting Officer of Outerwall Inc. (the “Company”), effective as of December 8, 2015, in order to take a financial reporting position at another company in the region.

The Company is commencing a search for the successor to Mr. Osvaldik.
