ITEM 8.01. Other Events.

     On February 10, 2009, OSI Pharmaceuticals, Inc. (“OSI”) announced that it had received a Paragraph IV Certification Notice Letter advising that Teva Pharmaceuticals USA, Inc. submitted an abbreviated new drug application to the U.S. Food and Drug Administration requesting permission to manufacture and market a generic version of Tarceva ^® (erlotinib). A copy of OSI’s press release, dated February 10, 2009, is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
