Explanation of Responses:
(1)	Each share of common stock of the Issuer was converted into and became exchangeable for the right to receive 1.6 shares of Valley National Bancorp ("Valley") common stock. Unvested shares of restricted stock will continue to vest under their original terms.
(2)	Stock options have been converted Valley stock options at the time of the merger, based on the merger exchange ratio of 1.6-for-one. Unvested stock options will continue to vest under their original terms.
