Item 1.01. Entry into a Material Definitive Agreement.

     On March 31, 2008, National Medical Health Card Systems, Inc. (“NMHC”) entered into an amendment and waiver (the “Amendment and Waiver”) to its current credit agreement (as amended, the “Credit Agreement”) with JPMorgan Chase Bank, N.A., as administrative agent, and the lenders that are parties thereto. The Amendment and Waiver amends certain definitions in the Credit Agreement, permits declarations of certain cash dividends with respect to NMHC’s Series A 7% Convertible Preferred Stock and waives any defaults under the Credit Agreement that might have occurred in connection with NMHCRX Mail Order, Inc. granting a lien on certain of its assets to a supplier.

     The foregoing description of the Amendment and Waiver does not purport to be complete and is qualified in its entirety by reference to the Amendment and Waiver, which is attached hereto as Exhibit 10.1 .
