ITEM 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On August 18, 2008, NeoMagic Corporation (the "Company") announced that effective as of August 15, 2008, David Tomasello was appointed to the Company's Board of Directors. The full text of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.

 

The Company's Board of Directors has granted to Mr. Tomasello an option to purchase 20,000 shares of the Company's common stock at an exercise price equal to the Company's common stock closing price on Nasdaq on August 15, 2008. The information regarding the terms and conditions of the option are consistent with those as set forth in the Company's definitive proxy statement for the annual meeting of stockholders held on July 12, 2007 under the caption "Director Compensation", which information is incorporated herein by reference.
