EDISON, N.J., Sept. 20 /PRNewswire-FirstCall/ -- New Brunswick Scientific Co., Inc. (NBS) (NASDAQ:NBSC), today announced the voting results from the special meeting of shareholders held today to approve the previously announced Agreement and Plan of Merger, dated as of July 10, 2007, by and among Eppendorf Incorporated, a Delaware corporation, Edison Merger Corp., a New Jersey corporation and a wholly-owned subsidiary of Eppendorf Incorporated and NBS. Over 99.5% of the shareholders present or represented by proxy voted for the adoption of the merger agreement. The votes cast represented the affirmative vote of holders of approximately 74.4% of the issued and outstanding shares of common stock of NBS.
NBS expects the closing of the transaction, which is subject to customary closing conditions, to occur shortly. Upon completion of the merger, NBS will cease to be a publicly traded company.
