Explanation of Responses:
(1)	On December 10, 2019, New Age Beverages Corporation (the "Company") issued 162,500 restricted shares of the Company's common stock ("Common Stock") to Mr. Willis. The Common Stock vests as follows: 33% on December 10, 2020, 33% on December 10, 2021 and 34% on December 10, 2022.
(2)	These shares are held by the Corinne Willis Trust, for which Corinne Willis, the wife of the reporting person, is the trustee.
(3)	The option vests as follows: 33% on December 10, 2020, 33% on December 10, 2021 and 34% on December 10, 2022.
