the United States District Court for the District of Utah, on behalf
of persons who purchased or otherwise acquired publicly traded
securities of Nature's Sunshine Products, Inc. ("Nature's Sunshine" or
the "Company") (NASDAQ:NATRE) between October 19, 2004 and March 24,
2006, inclusive, (the "Class Period"). The lawsuit was filed against
Nature's Sunshine and certain officers and directors ("Defendants").

The complaint alleges that Defendants violated Sections 10(b) and
20(a) of the Securities Exchange Act of 1934 and Rule 10b-5
promulgated thereunder. Specifically, the complaint alleges that
Defendants issued materially false and misleading statements regarding
the Company's results. On February 17, 2006, The Company issued a
press release in which it had expanded its previously announced review
of selected financial information concerning certain foreign
operations and that it had received a notice from NASDAQ indicating
that it could be delisted. On March 20, 2006, the Company indicated in
a SEC Form 8-K that its previous financial statements should not be
relied upon and that it had expanded the scope of its investigation to
include other matters predating 2005. On March 24, 2006, the Company
announced it received a non-compliance notice from NASDAQ due to its
failure to file an SEC Form 10-K in a timely manner. In reaction to
this news, shares of Nature's Sunshine fell to $11.68 per share.
