Explanatory Note

 

This Amendment No. 1 on Form 8-K/A is being filed solely to ensure the correct item number tag (Items 5.02) is reflected in the EDGAR system for the submission of the Current Report on Form 8-K filed January 22, 2020 with respect to the departure of the Company’s Vice President, Business Initiatives, effective January 17, 2020. No substantive changes have been made to the disclosures previously provided.

 

Item 5.02. Departure of Directors or Principal Officers; Election of Directors: Appointment of Principal Officers.

Effective on January 17, 2020, Mr. Richard B. Rogoff ceased being an employee of Onto Innovation Inc.  Mr. Rogoff last served as Vice President, Business Initiatives and was a named executive officer (NEO) of Rudolph Technologies, Inc.  Mr. Rogoff’s cessation of employment is amicable, and there is no disagreement between him and Onto Innovation on any matter relating to operations, policies or practices.
