Unregistered Sales of Equity Securities.

 

Effective on May 13, 2019, Naked Brand Group Limited (the “Company”) completed a private placement of a Secured Convertible Promissory Note (the “Note”) to St. George Investments LLC (the “Holder”) in an initial principal amount of $3,320,000, as more fully described in the Report of Foreign Private Issuer filed on May 17, 2019.

 

Between November 18 and December 2, 2019, the Company agreed to partition $490,000 in principal of the Note, and to exchange the partitioned Note for 18,134,907 of the Company’s ordinary shares. The exchange was completed pursuant to the exemption from registration provided by Section 3(a)(9) of the Securities Act of 1933, as amended.
