Item 1.01. Entry into a Material Definitive Agreement.

On March 22, 2017 , MaxPoint Interactive, Inc. (the “Company”) and Silicon Valley Bank (the “Lender”) entered into a Fourth Amendment to Loan and Security Agreement (the “Fourth Loan Amendment”), amending that certain Loan and Security Agreement, dated as of June 12, 2014, as amended by that certain First Amendment to Loan and Security Agreement, dated as of February 12, 2015, as further amended by that certain Second Amendment to Loan and Security Agreement, dated as of March 8, 2016, and as further amended by that certain Third Amendment to Loan and Security Agreement, dated as of September 30, 2016. Pursuant to the Fourth Loan Amendment, the Lender agreed to, among other things, extend the maturity date to March 31, 2018.
