Item 5.02  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 4, 2010, John Manginelli notified the Company that, due to unforeseen circumstances, he will be joining a family business and he resigned as the Company's Chief Financial Officer effectively immediately.  Mr. Manginelli has informed the Company that he will make himself available in the interim period to assist the Company, particularly in the area of its China acquisition, while the Company continues in its search for a new chief financial officer.
