Item 8.01   Other Events

MSB Financial Corp. (the "Registrant") announced that its Board of Directors had today declared a special cash dividend of $0.445 per share on its outstanding shares of common stock payable on or about June 13, 2018 to stockholders of record as of the close of business on May 31, 2018.  A press release dated May 15, 2018 announcing the declaration of the dividend is filed as Exhibit 99 hereto and is incorporated by reference herein.
