Item 3.01 Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On January 6, 2010, Lantronix (the "Company") received a letter from Nasdaq notifying the Company that it has regained compliance with the bid price requirement in Listing Rule 5550(a)(2), and met the requirements of the Nasdaq Listing Qualifications Panel’s (the “Panel”) decision dated December 8, 2009.  Accordingly, the Panel has determined to continue the listing of the Company’s securities on The Nasdaq Stock Market.
