Who is DiaSorin? A global leader in the laboratory diagnostics market, specializing in the immunodiagnostics and molecular diagnostics segments. For more than 50 years, they have been dealing with diagnostics to help physicians and patients make better decisions in their most important moments. They are a multinational company operating across 5 continents with headquarters in Saluggia, Italy and additional offices in Germany, the U.K., California and Minnesota in the United States. They have a presence in 120 countries and have around 2,000 employees worldwide.

Why is Luminex interested in joining DiaSorin? DiaSorin is a company we know well from our many years in the MDx space. We believe that our products are a good strategic fit for their organization and that this will be a great new home for our team to introduce more solutions to a broader base. We believe that by combining the strength and employees of both of our companies, we will be stronger together and that this opportunity is a testament to our outstanding team. We are also excited about the opportunities this transaction will create for the patients and markets that we serve. Improving clinical outcomes and simplifying complex workflows remains at the forefront of what we do at Luminex, and with DiaSorin’s commitment to value-based point-of-care products, we are confident that customers of both companies will benefit.

What happens next/when do you expect to close? At this time, we have signed a definitive merger agreement where Luminex would become a subsidiary of DiaSorin. Closing on this agreement is subject to certain customary closing conditions, including regulatory approvals and the approval of our shareholders. We expect to close in the 3rd quarter of 2021.

What will happen to my agreement with Luminex? The acquisition was structured as a “reverse triangular merger,” with Luminex Corporation surviving as a wholly-owned subsidiary of DiaSorin. Given that your agreement is with Luminex or one of our subsidiaries, this transaction should not affect your contract terms.

What else can you tell me? At this time, it is too early to provide further details, but we will continue to support and serve our customers as we always have and will keep constituents apprised as we progress towards closing.
