Item 2.02.  Results of Operations and Financial Condition.

On April 24, 2008, LifeCell Corporation (the “Registrant”) issued a press release regarding financial results for the first quarter ended March 31, 2008.  A copy of this press release is being furnished as Exhibit 99.1 to this Current Report on Form 8-K.
