ITEM 8.01 Other Events.
On March 9, 2011, the Boards of Directors of Legacy Bancorp, Inc. (the “Company”) and Legacy Banks (the “Bank”) approved an increase in the annual salary for Patrick J. Sullivan, President of the Company and Chief Executive Officer and President of the Bank, to $425,000 annually in accordance with the terms of his employment agreement with the Company and the Bank dated February 26, 2010 and his assumption of additional responsibility in connection with the previously announced merger with Berkshire Hills Bancorp, Inc.
