ITEM 7.01 Regulation FD Disclosure .

(1) On March 9, 2011 Legacy Bancorp, Inc. (the “Company”), the holding company for Legacy Banks, issued a press release announcing that its Board of Directors declared a cash dividend of $0.05 per share. The dividend will be payable on or about April 1, 2011, to stockholders of record as of March 20, 2011. A copy of the press release is attached as Exhibit 99.1 and incorporated herein by reference.
