Explanatory Note

 

This Form 8-K/A is filed by L Catterton Asia Acquisition Corp (the “Company”) to amend and restate paragraph 4 of Item 5.07 of the Company’s Form 8-K filed with the Securities and Exchange Commission on March 14, 2023 (the “Form 8-K”).

 

 

 

 

Item 5.07 Submission of Matters to a Vote of Security Holders.

 

Paragraph 4 of Item 5.07 of the Form 8-K is hereby amended and restated as follows:

 

In connection with the vote to approve the Extension Proposal, the holders of 6,867,252 or around 24% of the Class A ordinary shares of the Company properly exercised their right to redeem their shares for cash at a redemption price of approximately $10.22 per share, for an aggregate redemption amount of approximately $70,200,753.82.
