After significant diligence and deliberation, the Keryx Board unanimously approved this transformational merger because the Board believes it will create a company with best-in-class leadership, a more complete product portfolio, more efficient operations, and a stronger balance sheet. Keryxs largest stockholder, The Baupost Group, LLC, has signed a voting agreement in support of the transaction.
The combined company will be guided by an experienced and diverse Board
with directors from both the current Keryx and Akebia Boards plus a new independent Chairperson.
The combined company will have an experienced Board with substantial development and commercialization expertise. The independent directors of Keryx and Akebia recently recruited Adrian Adams to serve as the new Chairperson of the Board of the combined company. Mr. Adams has over 30 years of experience in the pharmaceutical and biotechnology industries, including executive and Board leadership experience, and has been instrumental in launching and successfully commercializing major global biopharmaceutical products. The Board of the combined company will consist of five of the existing Keryx directors, four existing Akebia directors and Mr. Adams.
