Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
     On January 11, 2010, Pamela Thomas-Graham notified Idenix Pharmaceuticals, Inc. (“Idenix” or the “Company”) that she is voluntarily resigning from the Board of Directors, effective as of January 11, 2010. Ms. Thomas-Graham has been a director of Idenix since 2005 and was recently named Chief Talent, Branding and Communications Officer of Credit Suisse and a member of the Executive Board of Credit Suisse.
