IASG to File Non Financial Statement Amendment to 2005 Form 10-K

Integrated Alarm Services Group, Inc. (NASDAQ:IASG) will
file a Form 10-K/A for fiscal year 2005 to amend certain disclosures
in the original Form 10-K.
   Certain required disclosures were incorporated by reference in the
original Form 10-K to the definitive Proxy Statement to be delivered
to shareholders in connection with the 2006 Annual Meeting of
Shareholders. The Form 10-K is being amended to include the
information originally incorporated by reference as the definitive
Proxy Statement will not be filed with the Securities and Exchange
Commission within the prescribed 120 day period from IASG's fiscal
year-end.
   The 2005 annual Financial Statements are not being filed with the
Form 10-K/A as there have been no changes to IASG's Financial
Statements.
