Item 2.02 Results of Operations and Financial Condition.

 

On March 6, 2008, HealthTronics , Inc. issued a press release entitled “ HealthTronics, Inc. Announces Fourth Quarter and Annual Results ”. The text of the press release, which is attached as Exhibit 99.1, is incorporated by reference in its entirety.

On March 6, 2008, our management held a quarterly-earnings call to discuss our fourth quarter and annual 2007 financial results, the transcript of which is attached to this Form 8-K as Exhibit 99.2.
