Item 5.03. Amendment to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

(a) On December 17, 2007, the Board of Directors of HealthTronics, Inc. (the “Company”) amended the Bylaws of the Company to allow the Company to issue shares in uncertificated form and, therefore, comply with Nasdaq’s new direct registration program requirement. The amendment is attached as Exhibit 3.1 and is incorporated herein by reference.
