The law firm of Wohl & Fruchter LLP is investigating the acquisition of Harris Interactive Inc. (Harris) (Nasdaq:HPOL) by Nielsen Holdings N.V. (Nielsen).

On November 25, 2013, Harris announced that it had entered into an agreement to be acquired by Nielsen for $2 per share in cash. Under the terms of the merger agreement, Nielsen will commence a tender offer to acquire all of the outstanding shares of Harris common stock through a wholly owned subsidiary formed for the purpose of making the offer.

The price being paid by Nielsen is nearly 4% below the $2.08 per share at which the shares of Harris closed on Friday, November 22, 2013.

Additionally, under the agreement, Harris is subject to a “no-shop” restriction on its ability to solicit alternative acquisition proposals, and to provide information to and engage in discussions with third parties.
