Explanation of Responses:
(1)	Each Restricted Stock Unit ("RSU") represents a contingent right to receive one share of HomeStreet common stock. RSUs do not require the holder to pay any consideration on vesting.
(2)	RSUs issued are based on Directors' compensation policy paid quarterly. RSUs are fully vested awards of a number of shares of stock that are delivered in stock at the time a Director leaves the Board or at a stated date elected by the Director, whichever is earlier. The reporting person has elected that this RSU shall vest when he leaves the Board. No additional consideration is paid for the vesting of a restricted stock unit.
