Hayes Lemmerz to Offer $150 Million or Euro Equivalent of Senior Unsecured Notes

NORTHVILLE, Mich., April 27  /PRNewswire-FirstCall/ -- Hayes Lemmerz International, Inc. (NASDAQ:HAYZ) announced today that it plans to offer approximately $150 million, or the equivalent amount denominated in euros, of senior unsecured notes.  The notes are expected to be issued by a European subsidiary.  The issuance of the notes is subject to market and other customary conditions.  The Company intends to use the net proceeds from the offering, together with the proceeds from $495 million of new senior secured credit facilities, to refinance the Company's obligations under its Amended and Restated Credit Agreement dated April 11, 2005.

The notes will be offered in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended, and outside the United States pursuant to Regulation S under the Securities Act. The notes have not been and will not be registered under the Securities Act and may not be offered or sold in the United States without registration or an applicable exemption from the registration requirements.
