Item 2.02    Results of Operations and Financial Condition.

On March 1, 2023, UWM Holdings Corporation, (the “Company”) issued a press release announcing its results for the fourth quarter and full year ended December 31, 2022. Additionally, the Company announced that its Board of Directors had declared a cash dividend of $0.10 per share on the outstanding shares of Class A common stock. The dividend is payable on April 11, 2023 to stockholders of record at the close of business on March 10, 2023. The Board also approved a proportional distribution to SFS Corp. of $150.2 million which is payable on April 11, 2023. A copy of the press release is furnished herewith as Exhibit 99.1.
