On June 7, 2019, Sheila Gujrathi, M.D. notified Five Prime Therapeutics, Inc. (FivePrime) of her decision to resign from the Board of Directors of FivePrime (the Board), effective immediately. Dr. Gujrathis resignation from the Board is not due to any disagreement with FivePrime on any matter relating to FivePrimes operations, policies or practices.

FivePrime held its annual meeting of stockholders (the Annual Meeting) on June 7, 2019. The final results for each of the proposals submitted to a vote of FivePrimes stockholders at the Annual Meeting are set forth below. These proposals are described in detail in FivePrimes definitive proxy statement filed with the Securities and Exchange Commission on April 29, 2019 (the Proxy Statement).
