REMOVAL OF SECURITIES FROM REGISTRATION

     This Post-Effective Amendment relates to the Registration Statement No. 333-125931 filed with the Securities and Exchange Commission on June 17, 2005 (the “Registration Statement”) pertaining to the registration of 615,000 shares (plus such indeterminate number of additional shares as may become available for sale pursuant to the anti-dilution provisions contained in the plan) of Common Stock of FPIC Insurance Group, Inc. (the “Company”).

     On October 19, 2011, pursuant to an Agreement and Plan of Merger, dated as of May 23, 2011, by and among The Doctors Company (“Parent”), Fountain Acquisition Corp. (“Merger Sub”) and the Company, Merger Sub was merged with and into the Company, with the Company surviving as a direct, wholly owned subsidiary of Parent (the “Merger”).

     As a result of the Merger, the offering pursuant to the Registration Statement has been terminated. The Company hereby removes from registration the securities of the Company registered but unsold under the Registration Statement.
