Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

(d)     On January 7, 2010, FortuNet, Inc. (the "Company") received a letter from the Nasdaq Stock Market Listing Qualifications Staff (the "Staff") notifying the Company that the Staff had approved the Company's transfer application to transfer its common stock listing from the Nasdaq Global Market to the Nasdaq Capital Market. The listing of the Company's common stock will be transferred to the Nasdaq Capital Market at the opening of business on January 11, 2010. The Company will continue to trade under the symbol "FNET."
