Smith announces that it is investigating potential claims against the board of directors of FGX International Holdings Limited (“FGX” or the “Company”) (NASDAQ:FGXI) related to the Company’s definitive agreement to merge with a subsidiary of Essilor International (“Essilor”). The all-cash transaction is valued at approximately $565 million, including assumed debt.
Under the terms of the merger agreement entered into by the parties, FGX shareholders will receive $19.75 per share in cash for each share of FGX they own upon completion of the merger.
