Item 5.02.  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

 

     On May 24, 2011, Mr. Padraic Spence, a director since April 2009, resigned as a director from the Board of Directors of Physicians Formula Holdings, Inc. (the “ Company ” ) in order to pursue other business and personal interests. Mr. Spence ’ s decision is not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices. The Nominating and Corporate Governance Committee is proceeding with plans to recruit a successor to Mr. Spence.
