Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

 

On February 17, 2018, Michael S. Reddin, the Chairman of the Board of Energy XXI Gulf Coast, Inc. (the “ Company ”), notified the Company that he had decided not to stand for re-election as a director of the Company at the Company’s 2018 Annual Meeting of Stockholders, the end of his current term, in order to pursue other professional opportunities. In addition to his existing board obligations to two other companies, Mr. Reddin indicated in his notice to the Company that he had recently been invited to join the board of directors of a third company and to consider other opportunities in addition to that one.

 

Accordingly, Mr. Reddin’s decision not to stand for re-election did not result from a disagreement with the Company on any matter relating to the Company’s operations, policies or practices, including its controls or financial related matters.
