Explanation of Responses:
( 1)	On March 9, 2009, the Company's Board of Directors approved a grant of 59,783 restricted shares of our Common Stock for a purchase price of $0.0001 per share subject to the terms of the Company's 2005 Performance Equity Plan. Until such shares are vested, the Company has the right to repurchase the restricted shares at the purchase price for which the shares were issued. Subject to accelerated vesting as described in the Restricted Stock Agreement, these restricted shares vest in equal quarterly installments on the 9th day of March, June, September and December, commencing March 9, 2009, until all the shares are fully vested.
( 2)	Represents Options to purchase 20,000 shares granted May 9, 2008, of which 5,000 shares vest annually, commencing on May 9, 2009.
( 3)	Represents Options to purchase 80,000 shares approved by the Board of Directors on July 30, 2008, but with an option price effective August 15, 2008, of which 3,125 shares vest quarterly in sixteen equal installments over four years on the 15th day of November, February, May and August, commencing on November 15, 2009.
