Item 5.02.		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     On March 31, 2011, in connection with ongoing cost-reduction efforts, Steven F. Layton, Endwave Corporation’s Senior Vice President of Sales and Marketing, was terminated as an officer and employee of Endwave Corporation.
