Announcement of Publication of Draft Deeds of Trust in Israel of Series G
Debentures and Convertible Series H Debentures

Enlight Renewable Energy Ltd. (“Enlight” or the “Company”) announced today, that it is examining the possibility of public offerings and listing in Israel of a new non-convertible Series G Debentures and of new convertible Series H Debentures, which will be convertible into the Company’s ordinary shares (together, the “New Debentures” and the "Offerings", accordingly). In connection with such contemplated Offerings, the Company published draft deeds of trust for the New Debentures on the Israeli Securities Authority and the Tel Aviv Stock Exchange (“TASE”) filing systems.
 
The completion of such possible Offerings, its terms, scope and timing, are subject to the approval by the Company’s board of directors, the approval of the listing of the New Debentures on the TASE and are subject to the receipt of regulatory approvals, and other factors such as market conditions. Accordingly, there can be no assurance that the Offerings will be consummated or as to the terms and timing thereof.
 
The Offerings are not being made to U.S. persons and have been made in an “overseas directed offering” in Israel pursuant to the exemption from registration under Regulation S under the U.S. Securities Act of 1933, as amended (the “Securities Act”).
 
The New Debentures, including the ordinary shares deliverable upon conversion of the Convertible Series H Debentures, will not be registered under the Securities Act, and will not be offered or sold in the United States without registration or applicable exemption from the registration requirements according to the Securities Act. Nothing in this report constitutes an offer to sell or the solicitation of an offer to buy the Company’s securities.
