Item 8.01.

Other Events.

 

On May 18, 2021, Eloxx Pharmaceuticals, Inc. (the “Company”) issued a press release announcing the closing of its underwritten public offering of 38,333,334 shares of its common stock, which includes the full exercise of the underwriters’ option to purchase an additional 5,000,000 shares, at a price to the public of $1.35 per share. The gross proceeds to the Company from the offering were approximately $51.75 million, before deducting the underwriting discounts and commissions and offering expenses. A copy of the Company’s press release is being furnished as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
