Explanation of Responses:

(1)

In connection with Ms. Putman's appointment to the Issuer's Board, the Company's sponsor, Dragoneer Growth Opportunities Holdings III transferred the Class B Ordinary Shares to Ms. Putman. The Class B Ordinary Shares will automatically convert into the Issuer's Class A Ordinary Shares at the time of the Issuer's initial business combination on a one-for-one basis, subject to adjustment, as described under the heading "Description of Securities" in the Issuer's registration statement on form S-1 (File No. 333-253796) and have no expiration date.
