Cardiac Science Files 2004 Form 10-K
IRVINE, Calif., March 23 /PRNewswire-FirstCall/ -- Cardiac Science, Inc.
(NASDAQ:DFIB) today reported that it filed its Annual Report on Form 10-K with
the Securities and Exchange Commission on Wednesday, March 16, 2005. Interested

As was the case with the Company's prior Annual Reports, the Form 10-K for the
year ended December 31, 2004 contained a report with a "going-concern"
explanatory paragraph from its independent registered public accounting firm,
PricewaterhouseCoopers, LLP, based on the Company's history of operating
losses.
In addition, the independent registered public accounting firm expressed an
opinion that management's assessment of the Company's internal controls over
financial reporting as of December 31, 2004, was fairly stated, in all material
respects, based on criteria established in Internal Control -- Integrated
Framework issued by the Committee of Sponsoring Organizations of the Treadway
Commission (COSO). Furthermore, in the opinion of the independent registered
public accounting firm, the Company maintained, in all material respects,
effective internal control over financial reporting as of December 31, 2004,
based on criteria established by COSO.
This announcement is in compliance with the Nasdaq Rule 4350(b) requiring
separate disclosure of receipt of an audit opinion that contains a going-
concern explanatory paragraph.
